Terms of Service

1. Acceptance of Terms
By accessing or using MOTU.ai (“Service”), operated by MOTU.ai, Inc. (“Company,” “we,” “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must discontinue use immediately. We reserve the right to modify these Terms at any time by posting the revised version. Your continued use after changes constitutes acceptance.
2. Description of Service
MOTU.ai provides analytics, data, and insights derived from publicly available institutional investor filings (including SEC Forms 13F, 13D, and 13G), market data, and proprietary scoring algorithms. The Service includes:
- MOTU Scores based on institutional investor activity
- Stock-level analytics, sector exposure, and conviction signals
- Portfolio overlap analysis and 13F filing breakdowns
- MOTU Index, a hypothetical backtested portfolio benchmark derived from MOTU Scores
- Watchlists, alerts, and data export functionality (plan-dependent)
- An AI research assistant (“Ask MOTU”) for querying platform data and analytics
- API access for programmatic data retrieval (Enterprise plans only)
3. User Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security and confidentiality of your credentials
- Accept sole responsibility for all activities under your account
- Notify us immediately at security@motu.ai of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior, including automated scraping, credential sharing, or circumvention of rate limits.
4. Subscription Plans and Billing
MOTU.ai offers Free, Pro, and Enterprise subscription tiers. By subscribing to a paid plan:
- You authorize us to charge your payment method on a recurring basis (monthly or annually)
- Prices are displayed in USD and exclude applicable taxes
- You may upgrade, downgrade, or cancel at any time from your account settings
- Downgrades and cancellations take effect at the end of the current billing period
- No pro-rated refunds are issued for partial billing periods
- Free trials, if offered, convert to paid subscriptions unless cancelled before the trial ends
We reserve the right to change pricing with 30 days' written notice. Continued use after a price change constitutes acceptance.
5. Permitted Use and Restrictions
You may use the Service for lawful, personal, or internal business purposes. You may not:
- Redistribute, resell, or sublicense MOTU.ai data without written authorization
- Use automated tools to scrape, crawl, or extract data beyond API rate limits
- Reverse-engineer proprietary scoring algorithms or ranking methodologies
- Use data to create a competing product or service
- Share account credentials or allow multi-user access on single-user plans
- Interfere with or disrupt the Service infrastructure
6. API Terms (Enterprise)
Enterprise API access is governed by a separate API Agreement provided upon enrollment. API usage is subject to rate limits, authentication requirements, and data attribution obligations. Unauthorized API usage or exceeding allocated quotas may result in throttling or suspension without notice.
7. AI-Powered Features
The “Ask MOTU” research assistant uses third-party large language models to generate responses to your queries. By using this feature, you acknowledge that:
- AI-generated responses may contain inaccuracies, incomplete information, or errors
- AI responses do not constitute investment advice, financial advice, trading advice, or any other professional advice
- You should independently verify any AI-generated information before relying on it
- We are not liable for any decisions made based on AI-generated content
- Your queries may be processed by third-party AI providers subject to their data handling practices
8. Data Sources and Accuracy
MOTU.ai aggregates data from publicly available regulatory filings and market data providers. While we strive for accuracy:
- SEC 13F filings are reported with a 45-day delay after quarter-end
- Filing data reflects holdings as of the reporting date, not real-time positions
- MOTU Scores are derived from proprietary models and are subject to revision
- We do not guarantee the completeness, timeliness, or accuracy of any data
Users are responsible for independently verifying data before making any decisions based on it.
9. Intellectual Property
All content, features, scoring methodologies, algorithms, software, trademarks, and trade dress of the Service are the exclusive property of MOTU.ai, Inc. and are protected by U.S. and international intellectual property laws. “MOTU,” “MOTU.ai,” MOTU Scores, and associated logos are trademarks of MOTU.ai, Inc. You may not reproduce, distribute, modify, or create derivative works without our express written consent.
10. Investment Disclaimer
MOTU.ai is not a registered investment advisor, broker-dealer, or financial planner.
The information provided on this platform:
- Does not constitute investment advice, financial advice, trading advice, or any other advice
- Should not be treated as a recommendation to buy, sell, or hold any security
- Is derived from publicly available data and proprietary models that may contain errors
- Does not account for your individual financial situation, risk tolerance, or investment objectives
10.1 MOTU Index and Backtested Performance
The MOTU Index is a hypothetical, backtested portfolio benchmark. It is not a real investment product and does not represent actual trading or an actual account. Important limitations:
- Backtested performance is hypothetical and was not achieved through actual trading
- Backtested results have inherent limitations and do not reflect the impact of actual market conditions, execution costs, slippage, or liquidity constraints
- Past hypothetical performance is not indicative of future results
- No representation is made that any account will or is likely to achieve results similar to those shown
Past performance of any institutional investor, security, or strategy — whether actual or backtested — is not indicative of future results. Always conduct your own due diligence and consult with a qualified, licensed financial advisor before making investment decisions.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOTU.AI, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, INVESTMENT LOSSES, DATA LOSS, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless MOTU.ai, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Termination
We may suspend or terminate your access to the Service at our sole discretion, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 9–13 survive termination.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. Each party bears its own costs unless the arbitrator determines otherwise.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
